Terms of Service

1. Service Description

Simple Agent is a SaaS platform that allows you to create and deploy AI-powered chat agents trained on your content. Features vary by plan (Starter, Growth, Agency, Scale). Current plan details are at simple-agent.me/pricing.

2. Account Registration

You must provide a valid email address. You are responsible for maintaining the security of your account. Sharing login credentials between individuals is not permitted on plans below Agency tier (which includes multi-seat access).

3. Subscription, Billing & Refunds

3.1 Billing

Paid plans are billed through Stripe-hosted Checkout and managed through the Stripe Customer Portal. We do not store full card numbers or card security codes. Available payment methods may vary by country, currency, and Stripe eligibility.

3.2 Refund Policy — 30-day, no questions asked

If you are not satisfied with Simple Agent for any reason, you may request a full refund within 30 days of your initial purchase of any paid plan. No explanation required. To request a refund, email support@simple-agent.me with subject "Refund Request". Refunds are processed within 5 business days to your original payment method.

Annual plans: the 30-day refund window applies to the first purchase. Subsequent annual renewals are refundable within 7 days of renewal. Monthly plans: refundable within 30 days of each monthly charge.

3.3 Cancellation

You may cancel your subscription at any time via Settings → Billing → Cancel plan. Your access continues until the end of the current billing period. We do not charge cancellation fees.

3.4 Overages

If you exceed your plan's message limit and overage is enabled on your plan, overage is charged at the rate displayed in your billing settings. You will receive an email notification when you reach 80% and 100% of your limit.

4. Acceptable Use

You may not use Simple Agent to:

• Create agents that impersonate real people or organisations fraudulently.
• Collect, process, or store personal data in violation of applicable privacy laws.
• Send unsolicited commercial communications (spam) via widget or email integrations.
• Train agents on content you do not have the rights to use (copyrighted material, trade secrets, regulated data without appropriate authorisation).
• Attempt to reverse-engineer, circumvent rate limits, or interfere with the infrastructure of the Service.
• Use the Service for any unlawful purpose.

We reserve the right to suspend accounts that violate these rules, with or without prior notice, depending on severity.

5. Your Data & IP

You retain all rights to the content you upload to Simple Agent (documents, URLs, text). By uploading content, you grant us a limited licence to process it for the purpose of providing the Service.

We do not use your content to train AI models and do not share it with third parties except as described in our Privacy Policy.

6. Service Level & Uptime

We target 99.5% monthly uptime. We do not offer a formal SLA on Free and Starter plans. Growth, Agency, and Scale plans are covered by our standard SLA (available on request). Planned maintenance is communicated with at least 24 hours notice.

7. Limitation of Liability

To the maximum extent permitted by law, Simple Agent's total liability for any claim arising from these Terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

AI-generated responses may contain errors. You are responsible for reviewing agent outputs and ensuring they are appropriate for your use case.

8. Indemnification

You agree to indemnify and hold harmless Simple Agent from any claims, damages, or expenses arising from (a) your use of the Service in violation of these Terms, (b) your content or the content of your agents, or (c) your violation of any law or third-party rights.

9. Termination

You may terminate your account at any time. We may terminate or suspend your account for violation of these Terms. Upon termination, your data is retained for 90 days before deletion, allowing you to export it via Settings → Legal → Export data.

10. Governing Law & Disputes

These Terms are governed by the laws of Brazil. Disputes shall be resolved in the courts of São Paulo, Brazil. We will always attempt to resolve disputes amicably before litigation.

11. Changes to Terms

We will notify you of material changes with at least 30 days' notice by email and via an in-app notification. Continued use after the effective date constitutes acceptance.
